Chair's Report:
This was issued to all members some days in advance of the AGM. No members made any comment, either by email or telephone or at the meeting. The report was proposed to be accepted by Richard Anderson, and seconded by Dick Smith. This motion was carried by those members present.
Accounts:
A copy of the signed financial accounts for 24-25 were issued to all members several days in advance of the AGM. One question had been asked in advance of the meeting, and 3 questions were asked at the meeting.

The questions asked were as follows.
1) Could the committee explain how the previous year's deficit had become a surplus in this year? Mohmud replied that this was mainly due to accruals which had not been calculated correctly in previous years but had now been re-aligned to financial years. Other reasons for the improvement were a reduction in utilities costs, the re-alignment of annual subscriptions, the increasing popularity of Pay and Play, and work by the committee and staff to reduce costs in general.
2) Did the committee agree that the subscriptions should go up, as they have not increased for a few years? A few members present agreed that they should go up. Mohmud replied that this issue was being looked at.
3) Should the club consider just having one subscription covering all sections and gym? Nick replied that, whilst some other clubs might do this, the committee wanted to give members as much choice as reasonably possible, which has always served the club well in attracting members, and that the club already offered a full subscription anyway.
4) The question raised before the AGM asked where the mandate came from for agreeing a lower price for the sale of the tennis courts, and an explanation for agreeing the lower price.
Brian explained that in July 2024 the developer (Concept Developments) had met with the club's management committee to advise that the original offer of £1.704M was no longer viable, proposing a reduction rather than cancelling the option agreement altogether. Over the next months they produced their evidence to support this contention and finally made a new offer of £1.65M. The committee tested the validity of this lower figure using another developer (whose initial offer was £1.2M) and a separate valuation of the development by a surveyor before agreeing this price. The committee then met with members in November 24 and received the approval of members present to accept the lower offer.
Over the next few months, the developer continued to experience problems gaining the necessary finance to complete the purchase. The committee agreed a further reduction with the developer to allow for complications with the foundations for the survey so as to complete the sale as quickly as possible.
Finally, in August 25, the developer reached a position with their financial supplier to allow him to pay the deposit, but was still not able to make full payment. After consultation with the club's solicitor, the committee declared the option agreement at an end and issued the necessary notice to the developer. The committee informed the developer that the club was seeking alternative buyers, but in the meantime would keep open the option of completing the sale with the developer at the agreed price with a new contract.
In December 25, the developer informed the committee that he had obtained a new financial supplier. A new contract was then duly agreed between the club and the developer, and the sale completed in March 26.
Appointment of An Auditor For The Club:
The committee recommended that Z Group (the current auditor to the club) be re-appointed for the current financial year. Acceptance of this recommendation was proposed by Dick Smith and seconded by Richard Anderson. This motion was carried by those members present.
Election Of Officers:
The chairpersons of Tennis Squash and Badminton were elected by their individual section committees and are automatically members of the committee and not therefore part of this election process.
All current members of the management committee stated that they were prepared to continue in their present positions for the next year. No other members have sought election to any of the committee posts. Richard Anderson proposed that the current committee be elected as a group for the next year, and this was seconded by Ray Harper. This motion was carried by those members present.

Other Business:
Results Of The Member Survey.
Scott reported that the results of the recent member survey were being reviewed, so that they could be properly utilised in the member-based workshops that will be used as the basis to compile the business plan. Around 200 members responded in the survey, which was very positive, with around 100 offering to become involved in workshops.
In the survey, the most parts that members wanted to improve were the gym, the lounge, maintenance of the tennis courts, the hall, parking, and money being spent effectively. On a positive note, members felt that things working well at the club were the level of subscriptions, the service provided by the staff, and the bar and food.
Saunas:
Members present asked what was happening with the saunas. Nick reported that they currently required some refurbishment, but that they were not currently used very much by members. Following further discussion by members present, it was agreed that the committee would poll the wider membership on the future of the saunas.
Junior Coaching:
Members present asked why there was no junior coaching. Nick replied that junior coaching was happening in all three main sections, although there was always room for improvement. Scott added that this was identified in the survey, and would be discussed in the workshops.
Female Participation on Committees:
David Strange asked why there were no ladies on the management committee. Brian replied that there was no reason, other than the fact that currently no ladies put themselves forward for the committee, but he named the ladies that had been on the management committee in the past. He also mentioned that Laura Nuney had recently been on the committee but had had to stand down due to pressure of work and personal commitments. Ladies could also represent their sections on the committee, which would be a matter for those sections.
There being no other business, the meeting closed at 9:25pm
